1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the RunAxis platform at runaxis.com.au (the “Platform”), operated by RunAxis (ABN available on request), an Australian business (“we”, “us”, “our”).

By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.

2. Description of Service

RunAxis is a business management platform designed for barbershops, hair salons, and solo operators. The Platform provides:

  • Online booking and appointment management
  • Staff scheduling and performance tracking
  • Client management tools
  • Revenue reporting and expense tracking
  • Automated booking confirmation and reminder emails
  • A public booking page for your clients

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

3. Accounts and Eligibility

To use RunAxis as a business owner you must:

  • Be at least 18 years of age
  • Be operating a legitimate business in Australia or the United Kingdom
  • Provide accurate and complete information when registering
  • Keep your account credentials secure and not share them with others

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at support@runaxis.com.au.

We reserve the right to suspend or terminate accounts that breach these Terms, provide false information, or engage in conduct we reasonably consider harmful to users or the Platform.

4. Subscription Plans and Payment

RunAxis is offered on a subscription basis. Plan details and pricing are listed on the Pricing page. All prices are in Australian Dollars (AUD) and exclusive of GST where applicable.

Subscriptions are billed monthly in advance. You authorise us (or our payment processor) to charge your nominated payment method on each renewal date.

We reserve the right to change subscription pricing with at least 30 days' written notice. Your continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

5. Free Trial

We may offer a free trial period. During a free trial, you have full access to the Platform. At the end of the trial period, your account will require an active subscription to continue. We will notify you before your trial ends.

We reserve the right to modify or discontinue free trial offers at any time.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until that date.

We do not provide refunds for unused portions of a subscription period except where required by law, including under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

If the Platform experiences a material failure that prevents you from using it, you may be entitled to a remedy under the Australian Consumer Law. Contact us at support@runaxis.com.au to discuss.

7. Your Data and Content

You retain ownership of all data and content you upload or create within the Platform (“Your Data”), including client records, booking history, and business information.

By using the Platform, you grant us a limited, non-exclusive licence to store, process, and display Your Data solely to provide the Platform's services to you.

You are responsible for ensuring that Your Data complies with applicable laws, including obtaining any necessary consents from your clients before entering their personal information into the Platform.

Upon account closure, you may request an export of Your Data within 30 days. After that period, we may delete Your Data subject to our legal retention obligations.

8. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Enter false, misleading, or fraudulent information
  • Attempt to gain unauthorised access to any part of the Platform or other users' accounts
  • Use the Platform to send spam or unsolicited communications
  • Reverse engineer, copy, or create derivative works of the Platform
  • Use automated tools to scrape or extract data from the Platform without our consent
  • Interfere with the performance or security of the Platform

9. Our Intellectual Property

The Platform, including its design, code, features, branding, and content (excluding Your Data), is owned by RunAxis and protected by Australian and international intellectual property laws.

Nothing in these Terms grants you any rights in the Platform other than the limited right to use it as described herein.

10. Third-Party Services

The Platform integrates with third-party services including Supabase (database and authentication), Resend (email), and Vercel (hosting). Your use of the Platform is subject to their respective terms of service.

We are not responsible for the availability, accuracy, or conduct of any third-party services.

11. Limitation of Liability

To the maximum extent permitted by law, RunAxis is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of or inability to use the Platform.

Our total liability to you for any claim arising out of or relating to these Terms or the Platform is limited to the total subscription fees you paid to us in the 3 months preceding the claim.

Nothing in these Terms limits or excludes any rights you have under the Australian Consumer Law that cannot be limited or excluded by agreement. Our services come with consumer guarantees that cannot be excluded under the Australian Consumer Law.

12. Disclaimer of Warranties

The Platform is provided “as is” and “as available”. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not warrant that the Platform will meet your specific business requirements. You are responsible for determining whether the Platform is suitable for your needs.

13. Indemnification

You agree to indemnify and hold harmless RunAxis and its officers, employees, and contractors from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) Your Data; (c) your breach of these Terms; or (d) your violation of any law or third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or a notice on the Platform at least 14 days before they take effect.

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription before the changes take effect.

15. Termination

Either party may terminate the agreement under these Terms at any time. You may do so by cancelling your subscription and closing your account. We may do so by providing 30 days' written notice, or immediately if you breach these Terms.

On termination, your right to use the Platform ceases. Sections 7, 9, 11, 12, and 13 survive termination.
